About Us

KP Capital Advisors Private Limited is a SEBI registered Category I Merchant Banker (Registration number INM000012713).

We are a wholly-owned subsidiary of KP Corporate Solutions (ESOP Direct), India’s leading end-to-end service provider in the domain of Equity compensation. We are a part of the KP group consisting of a renowned CA firm (Kirtane & Pandit) and a leading IT services (KPIT Technologies). With our strong competencies in the domains of Finance and Accounting, we are well positioned to offer services in the area of Valuations, Raising Capital from stock markets, Private Equity and Venture Capital funds. As a group we enjoy very high credibility in the Corporate circles as a professional, ethical and knowledge-based group of Finance professionals and we would like bring this credibility even in this activity.

As a core Group philosophy, we have always aimed at identifying niche service areas and seek market leadership position in terms of thought leadership as well as market share. We wish to operate in the Merchant Banking domain with the same core philosophy.

Mr. S.B (Ravi) Pandit

Chairman

Mr Ravi Pandit is currently the Chairman & Group CEO of KPIT Technologies Ltd. KPIT Technologies is a leading Mobility Software company servicing all the Global Customers in Auto sector. He has corporate experience of more than 45 years.

He has served as the President of Mahratta Chamber of Commerce, Industries and Agriculture (MCCIA) and a member of NASSCOM Executive council. He is a member of the Board of Management of Symbiosis International University and Director of the Aga Khan Rural Support Program (India).

He is on the Board of several listed and unlisted companies.

He is also the Senior Partner with Kirtane& Pandit, the Accounting firm of the group.

He speaks regularly at several national and International forums of diverse subjects of business, Finance, Industrial Policy and Globalization.

Mr Ravi Pandit is a Chartered Accountant and Cost Accountant and Master of Management science from MIT, USA.

Mr Umesh Kudalkar

Independent Director

Mr Umesh Kudalkar is a Independent Director on the board.

Mr Umesh has experience of more than 25 years in several financial services roles. He has successfully raised and invested Venture Capital & Private Equity Funds including an energy fund listed on CISX & quoted on the Alternate Investment Market (AIM) in June 2008. This represented the largest fundraising on AIM in CY 2008. He has managed multiple assets portfolio of USD 500 Million.



He has worked extensively on M&A activities as a joint exercise between the fund and the sponsors.
He has handled early stage Fintech Investments through SEBI Registered Category II AIF.

He is a regular Judge and a Mentor in the CFA Institute Research Challenge.

Mr Harshu Ghate

Managing Director

In his vast 34 years of professional experience, Harshu has held various leadership positions. He is co-founder of ESOP Direct, a leading solutions company in Equity based compensation space. He has been a member of SEBI’s committee that drafted Share Based Employee Benefit Regulations, 2014 and also co-authored the Guidance Note for the ICAI on Accounting and Expensing of Employee Stock Options. In the Investment Banking space, Harshu has advised companies on IPOs, raised funds through private placement and handled M&A transactions.

He is a Fellow Member of ICAI and Licentiate Member of ICSI.

Compliance under RBI/FEMA Regulations

  • Valuation of capital instruments of an Indian company that is receiving foreign investment
  • Valuation of shares of a foreign company for overseas investment (> $5mn)

ESOP Financials

  • Valuation of Employee Stock Options (ESOPs): Estimate “Fair Value” using Black-Scholes Model or Binomial Lattice Model
  • Accounting for ESOPs: Determine compensation cost to be amortized over the vesting period
  • Statutory Disclosures: Prepare statutory disclosures with respect to ESOPs as per Ind AS, US GAAP (FAS 123R) and IFRS.

Compliance under SEBI Regulations

  • SEBI (ICDR) Regulations, 2018
    • Manage IPO related activities from filing offer document till post-issue activities
    • Handle “Rights Issue” related activities
    • Provide compliance certificate for the “Preferential Issue”
    • Carry due diligence activities and take in-principle approval for QIP
    • Manage issue of specified securities by Small and Medium Enterprises (SME)
  • SEBI (SAST) Regulations, 2011: Act as a manger to “Open Offer” and submit valuation report (fairness opinion) on shares to SEBI
  • SEBI (Share Based Employee Benefits) Regulations, 2014: Certify and interact with stock exchanges in connection with in-principle approval of ESOP Plan
  • SEBI (Issue of Sweat Equity) Regulations, 2002: Provide a report on valuation of IPR, Know-How or value addition
  • SEBI (Buy-back of Securities) Regulations, 2018: Certify/Verify compliance certificate that buy-back has been in order
  • SEBI (Delisting of Equity Shares) Regulations, 2009: Act as manager to the "Delisting Offer" and carry due diligence
