About Us

KP Capital Advisors Private Limited is a SEBI registered Category I Merchant Banker (Registration number INM000012713).

We are a wholly-owned subsidiary of KP Corporate Solutions (ESOP Direct), India’s leading end-to-end service provider in the domain of Equity compensation. We are a subsidiary of Qapita Fintech Pvt. Ltd. Qapita is a market leader in Equity Management and Marketplace solutions for unlisted companies in India and South East Asia.

Mr Harshu Ghate

In his vast 34 years of professional experience, Harshu has held various leadership positions. He is co-founder of ESOP Direct, a leading solutions company in Equity based compensation space. He has been a member of SEBI’s committee that drafted Share Based Employee Benefit Regulations, 2014 and also co-authored the Guidance Note for the ICAI on Accounting and Expensing of Employee Stock Options. In the Investment Banking space, Harshu has advised companies on IPOs, raised funds through private placement and handled M&A transactions.

He is a Fellow Member of ICAI and Licentiate Member of ICSI.

Vamsee Mohan Kamabathula

Vamsee is an experienced technologist with a passion for building products and comes with over 20 years of experience.

As the Co-founder and CTO at Qapita, he is responsible for driving the company’s technological vision and strategy.

He is an alumnus of IIT Madras, one of India’s premier institutions for engineering and technology.

Throughout his career, Vamsee has worked with some very innovative companies in the industry.

He has been involved in the development of several successful products and platforms, and has led high-performing engineering teams in the process.

Vikram Sivaraman

Vikram Sivaraman, currently serving as the Country Head of India & Middle East at Qapita, brings a wealth of experience in the financial sector, encompassing investment banking, spanning over 12 years.

Prior to his role at Qapita, Vikram held the position of Chief Financial Officer at Inthree Access Services Pvt Ltd, a prominent rural commerce platform in India.



He also served as a Vice President at Spark Capital Advisors (India) Private Limited, a leading Investment Banking Firm in the country.

Vikram is a Chartered Accountant and holds a commerce degree from the University of Madras. Vikram completed a Post-Graduate Programme in Management from the prestigious Indian Institute of Management, Ahmedabad. Additionally, he spent time studying at the NYU Stern School of Business. Vikram's dedication lies in collaborating with founders and startups, utilizing his expertise to solve their challenges and contribute to their success.

  • Valuation of capital instruments of an Indian company that is receiving foreign investment

ESOP Financials

  • Valuation of Employee Stock Options (ESOPs): Estimate “Fair Value” using Black-Scholes Model or Binomial Lattice Model
  • Accounting for ESOPs: Determine compensation cost to be amortized over the vesting period
  • Statutory Disclosures: Prepare statutory disclosures with respect to ESOPs as per Ind AS, US GAAP (FAS 123R) and IFRS.

Compliance under SEBI Regulations

  • SEBI (ICDR) Regulations, 2018
    • Manage IPO related activities from filing offer document till post-issue activities
    • Handle “Rights Issue” related activities
    • Provide compliance certificate for the “Preferential Issue”
    • Carry due diligence activities and take in-principle approval for QIP
    • Manage issue of specified securities by Small and Medium Enterprises (SME)
  • SEBI (SAST) Regulations, 2011: Act as a manger to “Open Offer” and submit valuation report (fairness opinion) on shares to SEBI
  • SEBI (Share Based Employee Benefits) Regulations, 2014: Certify and interact with stock exchanges in connection with in-principle approval of ESOP Plan
  • SEBI (Issue of Sweat Equity) Regulations, 2002: Provide a report on valuation of IPR, Know-How or value addition
  • SEBI (Buy-back of Securities) Regulations, 2018: Certify/Verify compliance certificate that buy-back has been in order
  • SEBI (Delisting of Equity Shares) Regulations, 2009: Act as manager to the "Delisting Offer" and carry due diligence
